6.  MDWFP shall be responsible for any damages caused to the Subject Property by any
                          acts or omissions of MDWFP, its employees or agents, in connection with this Permit
                          and Right of Entry and MDWFP either shall fully repair such damages or it may choose
                          to pay Landowner the reasonable repair costs. The obligations of this paragraph shall
                          survive the expiration or termination of this Permit and Right of Entry.

                       7.  Landowner  shall  not  be  liable  for  injuries  or  damage  sustained  by  MDWFP,  its
                          employees or agents, nor shall the Landowner be liable for injuries or damage because
                          of any acts or omissions of MDWFP, its employees or agents, in connection with this
                          Permit and Right of Entry. The obligations of this paragraph shall survive the expiration
                          or termination of this Permit and Right of Entry.

                       8.  The  parties  agree  to  comply  with  any  Additional  Terms  and  Conditions  specified
                          above.

                       9.  Landowner certifies that Landowner has full authority to grant this Permit and Right of
                          Entry over the Subject Property. MDWFP certifies that the execution of this  Permit
                          and Right of Entry is made by a duly authorized official of MDWFP. By its entry upon
                          the Subject Property, MDWFP ratifies and agrees to the terms of this Permit and Right
                          of  Entry.  MDWFP  shall  not  allow  entry  to  the  Subject  Property  by  any  of  its
                          contractors, sub-contractors, or other non-employees until they have agreed to be bound
                          by the terms of this Permit and Right of Entry and have furnished MDWFP proof of
                          financial responsibility required of state contractors under Mississippi law.

                       10.  This Permit and Right of Entry constitutes the entire agreement between the parties.
                          There  are  no  understandings,  agreements,  or  representations,  oral  or  written,  not
                          specified within this Permit and Right of Entry.

                       11.  Amendments to this Permit and Right of Entry may be proposed by either party upon
                          written notice to the other party, and such amendments shall become effective as soon
                          as signed by both parties hereto.

                       12.  Notwithstanding any of the foregoing, nothing contained in this Permit and Right of
                          Entry shall be construed as an admission of liability or a waiver by MDWFP of its
                          sovereign immunity. This Permit and Right of Entry shall be binding solely between
                          the  two  parties  and  shall  not  be  deemed  or  construed  as  conferring  any  benefit  or
                          indemnification on behalf of any third party. The obligations of this paragraph shall
                          survive the expiration or termination of this Permit and Right of Entry.

                       13.  This Permit and Right of Entry is not effective unless executed by Landowner and an
                          authorized official of MDWFP.
